Recho Safety Terms

Introduction

These Terms of Service ("Terms" or "Agreement") govern your relationship with Vexa Limited and Recho ("we," "our" or "us"). While we've streamlined legal terminology where possible, these Terms remain a binding contract between you and Vexa Limited.

By accessing or using Recho's mobile application ("App"), website, features, or content (collectively, "Services"), you accept these Terms. If you disagree, discontinue use immediately.

Our Privacy Policy (incorporated herein) details how we handle your data. Please review it thoroughly.

Eligibility

Services are prohibited for users under 18. By using Recho, you affirm that:

• You can form a legally binding contract with Vexa Limited.
• You will comply with all applicable laws and these Terms.
• If using on behalf of an entity, you possess authority to bind said entity.

Note: Age misrepresentation voids our liability. Users aged 13-17 require parental consent and supervision.

License Grant

Vexa Limited grants you a limited, non-exclusive, non-transferable, revocable license to access the Services solely for personal, non-commercial use under these Terms.

You may not:

• Modify, reverse-engineer, or extract source code from our software.
• Resell, lease, or commercially exploit any Service component.

Automatic software updates may occur; manage preferences via device settings.

User Content & Licenses

You retain ownership of content you create or share ("User Content"). By submitting User Content, you grant Vexa Limited a global, sublicensable license to:

• Host, reproduce, adapt, and distribute it for Service operation, improvement, and promotion.
• For public-facing features (e.g., "Local"), this includes perpetual rights to create derivatives, publicly display, and syndicate content.

We may monitor or remove content violating these Terms. You bear sole responsibility for your User Content.

Third-Party Content & Disclaimers

Content from other users or third parties remains their responsibility. While we reserve the right to review/remove non-compliant material, we:

• Do not guarantee accuracy, reliability, or legality of third-party content.
• Disclaim liability for User Content or third-party actions.

You waive legal claims against us arising from others' content.

Privacy

Your data handling is governed by our Privacy Policy. By using Services, you consent to Vexa Limited's data practices as described therein.

Prohibited Conduct

You agree not to:

• Infringe intellectual property, privacy, or publicity rights.
• Harass, defame, bully, or distribute harmful/illegal content (e.g., hate speech, explicit material).
• Introduce malware, circumvent security, or engage in unauthorized data scraping.
• Impersonate others or share accounts/passwords.
• Use Services for commercial purposes without written consent.

We reserve the right to remove content and suspend accounts for violations.

Intellectual Property Compliance

Report copyright infringement to: serve@vexa.hk

Notices must include:

• Physical/electronic signature of rights holder.
• Identification of infringed work and offending material.
• Contact details and statements of good faith/accuracy.

Repeat infringers face account termination.

Account Security

Safeguard your credentials. Notify us immediately at serve@vexa.hk for compromised accounts.

Prohibited actions include:

• Creating multiple accounts.
• Transferring/selling accounts.
• Accessing via unauthorized third-party tools.

Purchases & Virtual Goods

• Virtual products ("Ruby") are licensed, not sold. All sales are final.
• Payments processed by third parties (e.g., App Store, Google Play); review their terms for tax/refund policies.
• We may modify/discontinue virtual goods without liability.

Minors require parental consent for purchases.

Disclaimers

Services are provided "As is." To the fullest extent permitted by law, Vexa Limited disclaims all warranties (express/implied), including merchantability, fitness for purpose, and non-infringement.

We do not guarantee uninterrupted, secure, or error-free operation.

Liability Limitation

Vexa Limited and its affiliates shall not be liable for:

• Indirect, incidental, or consequential damages.
• Loss of data, profits, or goodwill.
• User content or third-party conduct.

Aggregate liability caps at the greater of $100 USD or 12-month fees paid.

Modifications & Termination

We may modify, suspend, or discontinue Services without notice. Vexa Limited reserves the right to terminate accounts for inactivity, violations, or at its discretion.

Governing Law & Disputes

• Arbitration: Disputes not resolved amicably shall be settled by binding arbitration at the Hong Kong International Arbitration Centre under its prevailing rules.
• Governing Law: Hong Kong law (excluding conflict-of-laws principles) governs these Terms.

General Provisions

• Severability: Invalid provisions shall be severed without affecting remaining terms.
• Entire Agreement: These Terms supersede prior agreements.
• Amendments: Continued use after revisions constitutes acceptance.
• Language Precedence: English versions control over translations.
